COMMERCIAL PHOTOGRAPHY AGREEMENT
THIS COMMERCIAL PHOTOGRAPHY AGREEMENT ("AGREEMENT") IS ENTERED INTO BY AND BETWEEN ARIELLE LEWIS STUDIOS, A DC LIMITED LIABILITY COMPANY WITH A PRIMARY BUSINESS ADDRESS OF 1210 18TH ST NW STE 400, WASHINGTON, DC 20036, UNITED STATES ("PHOTOGRAPHER"), AND MOBILITY 21 WITH A PRIMARY CONTACT ADDRESS OF ("CLIENT"), EACH A "PARTY" AND COLLECTIVELY THE "PARTIES." FOR GOOD AND VALUABLE CONSIDERATION, WHICH THE PARTIES ACKNOWLEDGE AND AGREE AS FOLLOWS.
DEFINITIONS
The terms "Photographer," "Photography Team," "Us," "We," and "Our" refer to Arielle Lewis Studios, LLC, and all agents, employees, or other representatives.
The term "Including" means "including, but not limited to."
The term "Session," "Event," and "Photography Session" refers to a hired photographic session for the purposes of taking custom photographs to be scheduled for photographing at a mutually agreed-upon location ("Location").
The terms "Agreement" and "Contract" refer to this duly executed contractual obligation between parties.
The term "Photographs," "Photograph," "Photographic Materials," or "Images" refers to the digital materials being produced out of this Agreement.
The term "Accounting Point of Contact" refers to the Client’s representative handling all payments under this Agreement.
HEADSHOT PHOTOGRAPHY AGREEMENT
SERVICES
We got you! Photographer will provide all the services you selected in the proposal. Any extras? They’re all outlined in the attached quote, which is part of this agreement.
BOOKING & PAYMENT
To lock in your headshot session, payment in full is required. Any add-ons or changes on the day? You’ll receive an invoice within 48 hours of the session’s completion.
We accept checks and credit cards. Returned checks? That’s a $50 fee. If we need to take legal steps to collect payment, all related costs fall to the client. Let’s avoid that, yeah?
PLANNING MEETING & REQUESTS
To ensure your session is everything you want, we’ll have a pre-session planning meeting—phone, in-person, or Skype—at least one week before shoot day. This is where we lock in aesthetics, styling, and any special requests.
Got specific photo requests? Send them our way at least a week before the session. If we don’t hear from you, we’ll roll with our best creative decisions, and you’ll trust us to do our thing.
CANCELLATION, RESCHEDULE & LATE ARRIVAL
No-show or missing key materials (models, props, etc.)? Full payment is due immediately.
Need to cancel or reschedule within 2 days of the shoot? The initial payment is forfeited, and a new one is required to rebook.
Rescheduling with at least 2 days’ notice? We may apply your initial payment, but a $50 reschedule fee applies. New session must happen within 3 months.
Running late? That time comes out of your session. No refunds or make-up time.
COMPLETION & DELIVERY
Your polished images will be delivered via an online gallery with download access. Files come in high-res JPEG format, with a web-optimized version also available.
Standard edits include white balance, contrast, composition tweaks, basic skin retouching, and color matching. Additional edits? Let us know at the time of order. Expedited processing? That’s a $150 rush fee.
We keep session files for 2 months post-delivery, so download and back them up! Client galleries remain available for 1 year.
LOCATION & TRAVEL
Session happens at the agreed-upon location. If you choose a spot with fees (access, parking, etc.), those are on you.
Travel beyond 20 miles from our base? It’s $0.52 per mile. On-location sessions also have a $300 equipment fee. All travel fees must be paid before shoot day.
INDEPENDENT CONTRACTOR STATUS
We’re independent contractors, not employees or partners. Neither party has the authority to make commitments for the other.
THIRD-PARTY SERVICES
If we hire outside help (like makeup artists), we’re not responsible for their work. Any concerns? Address them directly with the contractor. We won’t be redoing a session due to dissatisfaction with third-party services.
CLIENT INSTRUCTIONS
Want a specific look? Tell us in writing. We’ll keep it on file for future shoots, but if you change your mind, update us beforehand. Once the shoot happens, our interpretation is final.
USAGE RIGHTS & COPYRIGHT
All images come with a standard commercial license: you can use them for promotions, marketing, and internal collateral (print, digital, website, etc.). Not included: packaging, billboards, video, or TV.
We retain copyright and the right to choose which images are delivered.
LIABILITY & INDEMNIFICATION
Our max liability? The total price you paid.
Client agrees to indemnify and hold us harmless from any injuries, damages, or claims related to the session. If you have an issue with the final images, notify us within a week of delivery. After that, all sales are final.
FORCE MAJEURE
Stuff happens. If an event beyond our control (natural disaster, illness, etc.) prevents us from fulfilling the contract, neither party is liable. If this goes on for 90+ days, either party can terminate the agreement.
TERMINATION
Either party can end this agreement if the other materially breaches it. The breaching party has 14 days to fix the issue; otherwise, termination is effective. Bankruptcy or insolvency also trigger termination.
SAFE WORKING ENVIRONMENT
We need a professional and respectful environment to do our best work. If we feel unsafe due to harassment, threats, or other inappropriate behavior, we reserve the right to leave and retain all payments.
CONFIDENTIALITY
All contract details remain confidential. Neither party will use shared business or image information outside the scope of this agreement.
MISCELLANY
This agreement represents our full understanding. Any changes must be in writing and signed by both parties. Disputes are handled under Washington, D.C. law in a bench trial (no jury).
If any part of this agreement is deemed unenforceable, the rest still stands.
NOTICE
Any official notices must be sent via email or written communication and are effective upon receipt.
